1. Agreement
By accessing this website (https://www.axiosprosolutions.com), submitting a quote form, calling, texting, or otherwise engaging with Axios Pro Solutions ("APS," "we," "us," or "our"), you ("you" or "Client") agree to these Terms of Service. If you do not agree, please do not use this site or our services.
2. About Our Services
APS is an Orlando-based event production and AV services company providing:
- Crew staffing for live events, tours, festivals, broadcasts, and trade shows
- Permanent AV installation for hotels, restaurants, conference rooms, worship spaces, and venues
- Mini production for corporate, association, and brand events up to 500 attendees
- Gear rental and logistics support
- Recording studio, podcast room, and B2B production storage at our Orlando warehouse
Specific scope, deliverables, pricing, and timelines for any engagement are governed by a signed Statement of Work (SOW) or Master Services Agreement (MSA), which override these Terms in case of conflict.
3. Communications & Consent
By submitting any contact form, quote form, or providing your phone number to APS, you consent to receive:
- SMS text messages from APS related to your inquiry, project coordination, dispatch updates, and account notifications
- Phone calls from APS dispatch and account management related to active or pending engagements
- Email communications related to your inquiry or active project
Message frequency varies. Standard message and data rates from your wireless carrier may apply. You may opt out of SMS at any time by replying STOP to any message, or by contacting privacy@axiosprosolutions.com. 4. Quote Requests & Engagement
Submitting a quote request or contact form does not create a contract or guarantee of service. We respond to quote requests with proposed scope, pricing, and terms — at which point you may accept, modify, or decline. An engagement is binding only when:
- A Statement of Work or Master Services Agreement is countersigned by both parties, OR
- A deposit is paid against a written quote that explicitly references its acceptance terms
Verbal or text-message agreements may be relied upon by APS for emergency dispatch but are non-binding for project terms unless followed by written confirmation.
5. Payment Terms
Payment terms are specified in each SOW. Default terms:
- Deposit: typically 25–50% required before crew is dispatched or gear is sourced
- Balance: due Net 15 to Net 30 from invoice date depending on engagement size
- Late payments: may incur 1.5% monthly interest after 30 days past due
- Recurring clients may qualify for terms-only billing with no deposit, evaluated case by case
6. Cancellation & Rescheduling
Cancellation and rescheduling terms are specified in each SOW. Default terms:
- 14+ days before show: deposit refunded minus any non-recoverable third-party costs (gear, freight commitments)
- 7–14 days before show: 50% of contract retained
- Less than 7 days: 100% of contract retained — crew has been committed and gear staged
7. Use of This Website
You may use this website for legitimate business inquiries, browsing public information about our services, and applying to our crew roster. You agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorized access to any systems
- Submit fraudulent quote requests or applications
- Scrape or copy site content without permission
- Interfere with the security or operation of the site
8. Intellectual Property
The Axios Pro Solutions name, logo, brand identity, photography, and original content on this website are the property of APS. Public-domain or licensed images (Wikimedia Commons, Unsplash) are used under their respective licenses. Our case studies, methodologies, and proprietary tools (including ShowHQ) are protected intellectual property.
9. Insurance
APS maintains General Liability, Workers' Compensation, and Equipment-in-Transit insurance appropriate to a national event-production business. Certificates of Insurance can be issued for venues and clients on request. Project-specific additional insured endorsements are available; reach out via email.
10. Limitations of Liability
To the maximum extent permitted by law, APS's total liability for any claim arising from a particular engagement is limited to the total fees paid by Client to APS for that specific engagement. APS is not liable for:
- Indirect, consequential, or punitive damages
- Loss of business, profits, or data
- Acts of God, weather, force majeure, or events beyond reasonable control
- Acts or omissions of Client, their agents, or third-party vendors not contracted by APS
Project-specific liability terms in your signed SOW or MSA override this section.
11. Disclaimers
This website is provided "as is" without warranties of any kind. Information about markets, venues, services, and pricing is subject to change. We make commercially reasonable efforts to keep the site accurate but do not warrant that it is error-free or always available.
12. Crew & Independent Contractors
Most APS crew are independent contractors engaged on a per-show basis. Crew sign their own engagement agreements with APS, which govern pay rates, conduct, certifications, and confidentiality. Client engagements with APS do not create any direct legal relationship between Client and APS crew members.
13. Confidentiality
APS treats client information, project specifications, attendee data, content, and event-level details as confidential by default. NDAs are available on request and are routinely signed for executive, broadcast, and high-discretion engagements. APS crew sign company-level confidentiality agreements as part of onboarding.
14. Governing Law
These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the state or federal courts located in Orange County, Florida, and you agree to jurisdiction in those courts.
15. Changes to Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of this site or our services after changes constitutes acceptance of the updated Terms.
